Terms of Service

1. Agreement to Terms
By accessing or using the website sigillinfotech.in ("Site") or engaging Sigill Infotech for development services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use this Site or our services.
2. Services
Sigill Infotech provides web development, ecommerce development, mobile app development, and design services. Specific services, deliverables, timelines, and fees for each project are agreed upon in a separate project proposal or contract ("Project Agreement") signed by both parties. In the event of any conflict between these Terms and a Project Agreement, the Project Agreement prevails.
3. Payment Terms
- Payment milestones are specified in each Project Agreement.
- Invoices are due within 7 days of issuance unless otherwise agreed in writing.
- Late payments attract interest at 1.5% per month on the outstanding balance.
- We reserve the right to pause work on any project with outstanding invoices older than 14 days.
- All prices are in Indian Rupees (INR) unless the Project Agreement specifies otherwise.
- GST (Goods and Services Tax) is applicable at the prevailing rate on all invoices where required by Indian law.
4. Intellectual Property
Upon receipt of full payment for a project, the client receives full ownership of all custom code, designs, and deliverables created specifically for their project. The following are excluded from transfer:
- Third-party libraries, frameworks, and open-source software used in the project (subject to their respective licences).
- Sigill Infotech's proprietary tools, boilerplate code, and internal utilities.
- Any stock assets (images, icons, fonts) licensed for use in the project — the client should obtain their own licences if broader rights are required.
5. Client Responsibilities
The client agrees to:
- Provide all required content, assets, and information in a timely manner as specified in the Project Agreement.
- Nominate a single point of contact with authority to approve designs and deliverables.
- Respond to requests for feedback or approvals within 5 business days (delays may push back the project timeline).
- Ensure that any content or materials provided to us do not infringe third-party intellectual property rights.
6. Revisions and Scope Changes
The number of revision rounds included is specified in each Project Agreement. Changes to the agreed scope during the project are handled via a written Change Order that includes revised pricing and timeline. We do not implement scope changes until a Change Order is agreed in writing.
7. Post-Launch Support
All projects include a 30-day bug-fix warranty period after launch, covering defects in the delivered work. This does not cover new feature requests, changes to third-party services (hosting, platforms, APIs), or issues caused by client-side changes after handover.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Sigill Infotech's total liability for any claim arising from our services is limited to the total fees paid by the client for the specific project giving rise to the claim in the 12 months preceding the claim.
We are not liable for indirect, consequential, incidental, or punitive damages, including loss of profit, loss of revenue, or loss of data, even if we have been advised of the possibility of such damages.
9. Confidentiality
Both parties agree to keep confidential any non-public information received from the other party during the project. We do not share client project details, code, or business information with third parties without written consent. Where required by clients, we sign a mutual NDA before project discussions begin.
10. Termination
Either party may terminate a project with 14 days' written notice. Upon termination, the client is liable for payment of all work completed up to the termination date, calculated pro-rata. Deliverables completed and paid for will be transferred to the client. Incomplete deliverables remain the property of Sigill Infotech until paid for in full.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of India.
12. Changes to These Terms
We may update these Terms periodically. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of this Site or our services after changes constitutes acceptance of the revised Terms.
